Wholesale Agreement

This Agreement is entered into between YZT Import & Export GmbH ("Supplier") and the approved business partner ("Retailer") upon acceptance into the wholesale programme.

1. Approval & account

Wholesale access is granted at the Supplier's sole discretion after review of business credentials, VAT registration, and resale certificate.

2. Minimum orders

Minimum opening order is USD 500. Reorders must meet product-level case sizes and MOQs shown on each SKU. Free freight applies above USD 1,500 within a single shipping zone.

3. Resale conditions

Products may only be resold through channels approved in writing by the Supplier.
Retailer shall respect the Suggested Retail Price (SRP) within ±10%.
Resale on unauthorized third-party marketplaces (including Amazon, eBay) is prohibited.

4. Payment

Opening orders are prepaid. Net-30 terms are extended after three completed prepaid orders and successful credit check. Late payments accrue interest at 1.5% per month.

5. Marketing assets

The Supplier grants a limited, revocable licence to use official brand assets for the sole purpose of reselling the Products.

6. Termination

Either party may terminate this Agreement upon 30 days' written notice. Breach of resale conditions is grounds for immediate termination.
